Agreements
Terms of service.
The agreement between Amaya and the firms that use it, with a short version above every section.
Who these terms are between
These terms are between Amaya Intelligence and the firm that signs up to use Amaya. Founders and participants use Amaya at a firm's invitation under section 6.
Each customer has a signed order form and a data processing agreement. If they conflict, the order form comes first, then the data processing agreement for personal data, then these terms. The agreement is governed by the laws applicable in Dubai, United Arab Emirates, and the onshore Dubai Courts have jurisdiction.
Who may use Amaya
Professionals aged 18 or over, acting for a business. Not for consumers.
What Amaya does
Reads documents, checks claims, runs interviews and drafts scores and committee papers for the firm. A person at the firm approves every stage.
How to use Amaya’s insights
- Investment analysis and recommendations, subject to your firm’s independent review and approval.
- Analytical scores reflect available evidence and methodology; they do not guarantee investment outcomes.
- AI output can contain errors or omissions; your firm verifies material findings before relying on them.
Your data
The firm owns its data. We process it to provide the service under the customer agreement and data processing agreement, which set out any training restrictions and how long data is kept.
Founders and participants
- A founder confirms they may share what they upload, including other people's details.
- Participants are told Lily is an AI and agree to the interview terms before the call.
- Founders never see the firm's analysis.
Fees
Your signed order form states the price, currency, taxes, allowances, subscription term and how renewal works, including any price change at renewal. No fee applies that the order form does not list.
Liability
Each side's total liability under the agreement is limited to the fees the firm paid in the 12 months before the claim. Neither side is liable for indirect or consequential loss, or for lost profits. These limits do not apply to fraud, wilful misconduct, breach of confidentiality or data protection obligations, the firm's payment obligations, or anything the law does not allow to be limited.
Renewal and ending
A subscription runs for the term on the order form and renews unless either side gives written notice of non-renewal at least 30 days before the term ends. Ending the agreement early, including for breach, any cure period and what happens to fees and refunds, is set out in your customer agreement.
Before the agreement ends, the firm can export its data, including its sealed committee records. We then delete the firm's workspace and customer content within 30 days, apart from the records our Privacy notice lists, such as invoices and contract records.
